Introduction

  • INKEx is the trading name of Irish Nonprofits Knowledge Exchange – a nonprofit company limited by guarantee, registered in Ireland (No. 473400) holding charitable status with the Revenue Commissioners (No. 19030). It was established in 2009 to build a knowledge infrastructure to serve the nonprofit sector and its stakeholders in Ireland.
  • INKEx has created a database of regulatory information about Irish nonprofit entities derived from publicly available regulatory sources. It obtains documents (audited financial statements, memoranda and articles of association) and regulatory returns from a data re-seller licensed by the Companies Registration Office (“CRO”). INKEx’s aim in collating and publishing this information is to promote the visibility, transparency and accountability of nonprofit organisations, as a service to them, to their stakeholders, and to the public.
  • INKEx has built a searchable website which includes a micro-site with five pages of information about every organisation in the database: its purposes, activities, governance and financial profile (the “Nonprofit Profile” of each organisation).
  • Content Editors, subject to the terms of the Data Editors Agreement, are free to monitor and use the “Nonprofit Profile Manager” to edit the non-regulatory fields of their Nonprofit Profile at any time. Data Editors are not free to edit the information contained in the regulatory fields of their Nonprofit Profile.

Website access

  • For the protection of the site and its users, INKEx must reserve the right, for any reason and without notice, at its sole discretion, to terminate, change, suspend, or interrupt access, in whole or in part, to the INKEx website. INKEx further reserves the right to impose additional or other registration, password and other security precautions on access to and use of the INKEx website.
  • While it will at all times use its best endeavors to ensure the ongoing availability of the website and its services, INKEx shall have no liability whatever for delays or interruptions in delivery or accessibility of the INKEx website, interruptions of service or other breach of this user agreement due to acts or omissions of communications carriers, or other causes beyond INKEx’s reasonable control.

INKEx website basic content

  • Basic regulatory information on companies in the INKEx database is derived from documents filed with the CRO. This includes information about the registered name, business names and address of the company, its date of incorporation, its secretary and directors’ names, number of employees, and financial profile (income, expenditure, assets and liabilities) derived from the audited financial statements.
  • In addition, INKEx plans to re-publish the list of entities that enjoy charitable tax relief from The Revenue Commissioners (“Revenue”), including summary information about some bodies that are not already included in the INKEx database (i.e. because they are not incorporated).
  • The regulatory data derived from these sources is reported as such (indicated by “R” on the public website) and may not be edited by Data Editors.

Disclaimers

  • INKEx endeavours to provide up to date accurate information on its website but gives no warranty, undertaking or assurance about the accuracy of the information, or that the same is free from error or omission. INKEx makes no representations as to the accuracy or integrity of information posted on its website by third parties. INKEx shall not be liable for any damages of any kind incurred as a result of the information posted on the INKEx website.
  • The information and materials published on the INKEx website are generated in the main from third party sources, and published for informational purposes only. Such information and materials do not constitute and are not intended to provide legal, accounting, or tax advice and should not be relied on in that respect.
  • The financial information about each organization on the INKEx website is derived from audited financial statements published in the CRO and should not be relied upon in substitution for these statements, which are also published on the microsite of each organisation.
  • INKEx does not endorse, support, sanction, or verify the information or material on or accessible via the INKEx website. It does not endorse and has no affiliation with any of the organisations mentioned, listed in, described on or linked to via the website, and it makes no representations or warranties whatsoever with regard to those organisations or any other organisation, entity or person.
  • INKEx provides links to third party websites as a service to users of its website only and the inclusion of these links does not imply that INKEx monitors or endorses these websites. Accordingly, INKEx accepts no responsibility for the content or availability of such websites.
  • INKEx provides no warranty, undertaking or assurance of any kind as to the manner in which information on the INKEx website will be used by third parties.
  • INKEx gives no warranty or assurance that its website is bug free or error free, that it will operate without interruption, or that the use of it will produce any particular results.
  • INKEx makes no representations or warranties on behalf of itself with respect to third party software or equipment, and expressly excludes and all liability arising from or related to a third party’s software and/or equipment.
  • INKEx (including its officers, directors, employees, successors and assigns) disclaims liability for punitive, exemplary, indirect, special, incidental or consequential damage or loss arising in connection with this user agreement, the INKEx website or database or any content or material therein.

Prohibited uses and activities

  • We do our best to ensure the safety and security of the INKEx website. By agreeing to these terms, you as content editor have agreed that you will not:
  • Use the Nonprofit Profile other than as authorised by this agreement
  • Facilitate or encourage any violations of this statement.
  • Send or otherwise post unauthorized commercial communications (such as spam) on INKEx.
  • Collect users’ content or information, or otherwise access INKEx, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
  • Republish or distribute information from the INKEx website (including by posting it on any other website) without asking for and receiving our explicit consent
  • Upload viruses or other malicious code
  • You agree not to upload or otherwise place any content or data on the INKEx website that infringes the rights of any third party, or that is false, misleading, defamatory, or otherwise contrary to law or regulation.
  • Solicit login information or access an account belonging to someone else.
  • Post content that is ordinarily deemed inappropriate for a general audience including hateful, threatening, or pornographic; that incites violence; or contains nudity or graphic or gratuitous violence.
  • Directly or indirectly, change, recompile, reframe, rent, sell, distribute or publish any of the INKEx website, database and/or content, or any portion thereof.
  • Use INKEx to do anything unlawful, misleading, malicious, or discriminatory.
  • Do anything that could disable, overburden, or impair the proper working of INKEx, such as a denial of service attack.
  • Disassemble, decode, decompile, or otherwise reverse engineer the INKEx website, including, without limitation, any interfaces or software programs comprising the INKEx website
  • Use our copyrights or trademarks without our written permission
  • Use the INKEx website directly or indirectly in competition with INKEx in any way whatsoever

Sanctions

  • INKEx will remove any content or information you post on the INKEx website if we believe that it violates any of the provisions of this user agreement.
  • If you infringe other people’s intellectual property rights, or otherwise infringe the provisions of this agreement, INKEx reserves the right to disable your access to your Nonprofit Profile.

This agreement

  • This user agreement is a binding contract between you and Irish Nonprofits Knowledge Exchange (“INKEx”). INKEx reserves the right, to modify, alter, or otherwise revise this user agreement at any time by posting such modified versions on the INKEx website. Your continued use of the INKEx website after the posting of any modified versions and notification shall constitute agreement to the modified user agreement.

Notices

  • Except as is stated herein to the contrary, any notices to INKEx must be given by postal mail sent to INKEx’s premises or by email our correspondence email address as then listed on the INKEx website.

This agreement shall be governed and construed by the laws of the Republic of Ireland. If INKEx fails to enforce any provision of this user agreement, it will not be considered a waiver. Nothing in this user agreement shall prevent INKEx from complying with the law.
